1. About these terms

These terms govern your use of the TONIQ Insights website and its demo request form (the "Site"). Base 3 Group, LLC, doing business as TONIQ Insights ("TONIQ," "we," "us"), operates the Site from 1321 Upland Dr. PMB 21857, Houston, TX 77043.

By using the Site, you agree to these terms. If you do not agree, do not use the Site.

2. What these terms do not cover

These terms do not cover the TONIQ Insights survey platform. Survey responses are collected with software from Emovid Corporation. They are governed by Emovid's Terms of Use and Privacy Policy, plus any terms the business running the survey adds. These terms are not an agreement with anyone who responds to a survey.

Services we provide to a customer are governed by a separate agreement with that customer, not by these terms.

3. Who may use the Site

The Site is for businesses and adults. You must be at least 18 years old to use it. The Site is aimed at users in the United States.

4. Using the Site

Use the Site only for lawful purposes. You may not:

• interfere with or disrupt the Site or the servers that host it
• try to gain unauthorized access to the Site or any connected system
• use bots, scrapers, or other automated tools to access or copy the Site
• introduce viruses or other harmful code
• submit false information or impersonate another person or business

5. Demo requests

When you submit the demo request form, you give us your name, work email, company, and number of locations, plus anything you write in the message box. We use that information to contact you about your request. Do not include sensitive personal information in the message box.

Submitting a request does not create a contract, and neither side is obligated to proceed. We may decline any request. Our Privacy Policy describes how we handle your information.

6. Intellectual property

The Site's text, design, graphics, and other content belong to TONIQ or its licensors and are protected by law. You may view the Site and share its pages for your own business evaluation. You may not copy, modify, distribute, or build on Site content for any other purpose without our written permission.

TONIQ and TONIQ Insights are names used by Base 3 Group, LLC. Emovid and the Emovid logo are trademarks of Emovid Corporation.

7. Third-party services and links

The Site uses third-party services, which our Privacy Policy lists. The Site may link to other websites. We do not control those sites and are not responsible for their content or practices.

8. No warranties

The Site is provided "as is" and "as available." We make no warranties of any kind, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, and non-infringement. The Site is informational. Nothing on it promises a result or is an offer you can accept to form a contract.

9. Limitation of liability

To the fullest extent the law allows, TONIQ and its owners, officers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our total liability for any claim relating to the Site is limited to $100. Some jurisdictions do not allow certain limits, so part of this section may not apply to you.

10. Governing law and general terms

Texas law governs these terms and any dispute relating to the Site, without regard to conflict-of-law rules. If a provision of these terms is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. These terms are the entire agreement between you and TONIQ about the Site.

11. Changes to these terms

We may update these terms. The updated version takes effect when we post it, and the date at the top changes. If you keep using the Site after that, you accept the update.
